About the Book

Corporate Governance (CG) is the system through which companies are directed and controlled. These governance structures identify the distribution of rights and responsibilities among different participants in the corporation.  The present volume comprises five chapters. The first chapter conceptualizes and discusses the duties and responsibilities of the corporate directors. The chapter further discusses the study objectives, methodology and research design. The second chapter gives an overview of corporate governance framework, meaning and definition, need of corporate governance and models of corporate governance. The third chapter deals at length with the nuances, the meaning and role of corporate governance, regulation, board committees, legal frame, Companies Act, autonomy and responsibilities of CPSEs and duties of board. Chapter five deals with comparison of regulatory agencies, principles, number of committees, duties of directors across the boards and case studies. Further the chapter also provides conclusions and recommendations of the study. The volume is an outcome of the research study funded by National Foundation for Corporate Governance, Ministry of Corporate Affairs, Government of India.

R.K. Mishra, ONGC Subir Raha Chair Professor on Corporate Governance, Senior Professor and Director, Institute of Public Enteprises (IPE), Hyderabad, did his PhD from University of Rajasthan. A Visiting Fellow at London Business School (UK), he also studied for International Teachers programme at SDA Bocconi, Milan. Dr Mishra has taught at the University of Bradford and was a Visiting Professor at Maison Des Sciences De L’ Hommes, Paris and Faculty of Economics, University of  Ljubljana, Slovenia. He is a member of the UN Task Force on International Standards of Excellence in Public Administration and Education. He is a special invite on OECD Working Group on Privatization and Corporate Governance of SOEs and Asian Network of Corporate Governance. 
He is Non-Executive Director on some of the public and private enterprise boards in India. He has considerable experience of teaching and guiding research for doctoral degree in management, economics, public administration and commerce. 

J. Kiranmai is currently Assistant Professor in the areas of accounting and finance at IPE, Hyderabad. She holds Masters in Philosophy in Management and Masters in Commerce (MCom) with specialization in Banking and Finance. She has undertaken many research and consultancy assignments for state and central public sector enterprises. She has also conducted management development programmes relating to board level training, corporate governance, corporate social responsibility, performance management and MoU in CPSEs, etc. She is presently Head, Center for Corporate Governance. 
She coordinates activities of the ONGC Subir Raha Chair on Corporate Governance at IPE. She has participated and presented research papers in national and international seminars and published research papers in journals of repute.  She is presently associated with Indian Journal of Corporate Governance published by SAGE Pvt Ltd.
